Terms of Service

Welcome to LowLatencyVPS. These Terms of Service (“Terms”, “Agreement”) govern your access to and use of the services provided by LowLatencyVPS, a service operated and powered by Vertexnode LIMITED (“Company”, “we”, “us”, or “our”). This includes our website, virtual private servers (VPS), cloud infrastructure, networking services, support services, and related products (collectively, the “Services”).

By creating an account, purchasing a service, accessing our website, or using any LowLatencyVPS service, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not use our Services.

1. Eligibility and Account Registration

1.1 Eligibility

To use LowLatencyVPS Services, you must:

  • Be at least 18 years old or have reached the legal age of majority in your jurisdiction.
  • Have the legal authority to enter into this Agreement.
  • Provide accurate and complete registration information.
  • Comply with all applicable laws and regulations.

If you are using our Services on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1.2 Account Responsibility

You are responsible for maintaining the security of your account credentials, including passwords, API keys, and access tokens.

You are responsible for all activity performed through your account, whether authorized by you or not, unless such activity results directly from a security failure caused by LowLatencyVPS.

You must immediately notify us if you suspect unauthorized access to your account.

2. Description of Services

LowLatencyVPS provides virtual server infrastructure designed for various workloads, including but not limited to:

  • AI agents and automation workloads
  • Websites and web applications
  • Software development and testing
  • Business applications
  • Remote computing environments
  • Other lawful computing purposes

Service specifications, including CPU, RAM, storage, network capacity, operating systems, locations, and pricing, may vary depending on the selected plan.

LowLatencyVPS reserves the right to modify, upgrade, replace, or discontinue services when necessary for operational, technical, security, or business reasons.

3. Service Usage Requirements

You agree to use LowLatencyVPS services responsibly and only for lawful purposes.

You are responsible for:

  • Installing and managing your applications and software.
  • Maintaining appropriate security measures.
  • Protecting your server credentials.
  • Keeping your operating systems and applications updated.
  • Maintaining backups of important data.
  • Ensuring your activities comply with applicable laws.

LowLatencyVPS provides infrastructure services only and does not guarantee that your applications, AI systems, websites, or software will achieve any particular results.

4. AI and Automated Workloads

Customers may use LowLatencyVPS services for AI agents, automation systems, bots, and machine learning workloads, provided such use complies with these Terms and our Acceptable Use Policy.

You are responsible for:

  • The behavior and output of your AI systems.
  • Any data processed by your applications.
  • Compliance with third-party AI provider requirements.
  • Preventing misuse of automated systems.

LowLatencyVPS does not monitor, control, or take responsibility for customer-created AI applications.

5. Billing and Payments

5.1 Service Fees

You agree to pay all applicable fees associated with your selected Services.

Fees are displayed during the ordering process and may change in the future. Price changes will not affect active prepaid billing periods unless otherwise stated.

5.2 Payment Information

You must provide accurate and valid payment information.

You authorize LowLatencyVPS and its payment providers to charge applicable fees for Services purchased through your account.

5.3 Late Payments

Failure to make payment when due may result in:

  • Suspension of Services.
  • Restriction of account access.
  • Termination of Services.
  • Additional administrative fees where applicable.

You remain responsible for all unpaid charges.

6. Resource Usage and Fair Use

Each VPS plan includes allocated resources according to the purchased package.

You agree not to:

  • Consume resources in a manner that negatively affects other customers.
  • Attempt to bypass resource limitations.
  • Abuse network capacity.
  • Run intentionally disruptive workloads.

LowLatencyVPS may take reasonable actions to protect network stability and service availability.

7. Data Responsibility and Backups

You are solely responsible for maintaining backups of your data.

Although we may provide infrastructure reliability measures, LowLatencyVPS does not guarantee that data will never be lost, corrupted, deleted, or unavailable.

You should maintain independent backup solutions for important files, applications, databases, configurations, and other data.

8. Security Responsibilities

You are responsible for securing your VPS environment.

This includes:

  • Managing user access.
  • Protecting passwords and authentication credentials.
  • Configuring firewalls where appropriate.
  • Removing malware or compromised software.
  • Preventing unauthorized access.

If your server is compromised or used for abuse, you must cooperate with LowLatencyVPS investigations and corrective actions.

9. Prohibited Activities

Use of LowLatencyVPS services for illegal, harmful, abusive, or disruptive activities is prohibited.

Examples include, but are not limited to:

  • Malware distribution.
  • Phishing activities.
  • Spam operations.
  • Unauthorized access attempts.
  • Network attacks.
  • DDoS attacks.
  • Cryptocurrency-related abuse or unauthorized mining.
  • Hosting illegal content.
  • Copyright infringement.
  • Fraudulent activities.
  • Any activity violating applicable laws.

10. Intellectual Property

All LowLatencyVPS trademarks, website content, branding, software, documentation, and materials remain the property of LowLatencyVPS or its licensors.

You may not copy, modify, distribute, reverse engineer, or use our intellectual property without written permission.

You retain ownership of your own applications, software, and content hosted on your VPS.

11. Service Availability

We strive to provide reliable infrastructure and high-quality service.

However, Services may experience interruptions due to:

  • Maintenance.
  • Hardware failures.
  • Network issues.
  • Third-party infrastructure problems.
  • Security incidents.
  • Events outside our reasonable control.

Specific service commitments may be described separately in our Service Level Agreement (SLA).

12. Suspension and Termination

LowLatencyVPS may suspend or terminate Services if:

  • You violate these Terms.
  • You violate our Acceptable Use Policy.
  • Your account creates security risks.
  • Payments are overdue.
  • Required by law or regulatory authorities.
  • Your activity threatens network stability.

Where possible, we may provide notice before termination. However, immediate suspension may occur when necessary to protect our infrastructure or other customers.

13. Refunds and Cancellations

Refund eligibility, cancellation procedures, and applicable conditions are described in our Refund Policy.

Purchasing Services constitutes acceptance of the applicable refund terms.

14. Limitation of Liability

To the maximum extent permitted by law, LowLatencyVPS shall not be liable for:

  • Loss of profits.
  • Loss of business opportunities.
  • Data loss.
  • Service interruptions.
  • Security incidents caused by customer actions.
  • Indirect or consequential damages.

Our total liability shall not exceed the amount paid by you to LowLatencyVPS during the applicable billing period giving rise to the claim.

15. Disclaimer of Warranties

Services are provided on an “as available” and “as is” basis.

LowLatencyVPS does not guarantee:

  • Continuous availability.
  • Error-free operation.
  • Specific performance results.
  • Compatibility with every application.
  • Successful outcomes from customer workloads.

16. Indemnification

You agree to defend, indemnify, and hold harmless LowLatencyVPS, its affiliates, employees, and partners from claims, damages, losses, and expenses resulting from:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your applications, content, or data.
  • Your violation of third-party rights.

17. Changes to These Terms

LowLatencyVPS may update these Terms periodically.

Updated versions will be published on our website. Continued use of our Services after changes become effective constitutes acceptance of the updated Terms.

18. Governing Law

These Terms shall be governed by the laws applicable to the jurisdiction where LowLatencyVPS is registered, without regard to conflict of law principles.

Any disputes shall be resolved according to applicable legal procedures in the appropriate jurisdiction.
